Exactly what to put in a pre-seed data room — and what to leave out. Keep it to six to ten documents an investor can review in one sitting. A tight room signals you know what matters; a 40-tab folder signals busywork.

Pre-seed data room questions

What should a pre-seed data room contain?

Keep it lean. The essentials are: the pitch deck, a simple financial model, the cap table, and core legal docs (certificate of incorporation, founder agreements with vesting, IP assignment). Add a short metrics summary, key LOIs/contracts, and brief team bios if you have them. That’s a complete pre-seed room — six to ten documents, not forty.

What should I leave out of a pre-seed data room?

Skip audited financials, a detailed org chart, over-engineered five-year models, and anything that pads the room without informing the decision. Don’t put an NDA on the deck itself — most institutional investors won’t sign one to take a first look. A tight room reads as “this founder knows what matters.”

Do I need a data room at pre-seed at all?

Often not until diligence starts. Most pre-seed conversations run on a tracked deck link plus a call. Build the room when a specific investor asks for several documents at once, or when more than one investor is in diligence and you’re tired of emailing files. Should I require an NDA on my data room?
